1. Acceptance of Terms
By accessing and using CostSage, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the service. CostSage reserves the right to modify these terms at any time. Continued use of the service following modifications constitutes acceptance of the updated terms.
2. Description of Service
CostSage is an autonomous FinOps Agent that analyzes your cloud infrastructure on AWS and Azure to identify cost optimization opportunities. Our service provides:
What CostSage Does
- Analyzes your cloud resources, configurations, and billing data using AI and machine learning
- Identifies cost savings opportunities including resource rightsizing, idle resource cleanup, commitment discounts, and waste reduction
- Provides confidence scores and justifications for each recommendation
- Executes approved optimizations on your cloud infrastructure (with your permission)
- Tracks savings and provides reporting on executed recommendations
- Integrates with your existing cloud accounts and deployment workflows
What CostSage Does NOT Do
- CostSage does not guarantee specific savings amounts. Actual savings depend on your infrastructure, usage patterns, and implementation of recommendations.
- CostSage does not modify your cloud infrastructure without explicit approval of each specific change.
- CostSage does not serve as a substitute for professional consulting or architectural reviews.
- CostSage recommendations are advisory and should be reviewed against your business requirements and risk tolerance.
3. Account Registration & Security
Account Creation
To use CostSage, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your password and account information. You agree to provide accurate, complete, and current information.
Account Responsibility
You are responsible for all activity on your account, including any authorizations or approvals you grant. You agree to notify CostSage immediately if you discover unauthorized access to your account.
Account Suspension
CostSage reserves the right to suspend or terminate your account if we detect:
- Unauthorized access or use of another user's account
- Violation of these Terms of Service
- Suspected fraudulent or illegal activity
- Non-payment of subscription fees
4. Cloud Account Access
Permissions Required
To provide our service, CostSage requires you to grant us access to your cloud accounts:
AWS Access
- Read-only analysis: We require an IAM role with read-only permissions to EC2, RDS, S3, Lambda, CloudWatch, and other AWS services.
- Execution permissions (optional): If you approve specific changes, we require minimal-scope execution permissions (e.g., EC2 resize, S3 lifecycle rules) scoped to specific resource tags or regions.
- All execution permissions are logged in CloudTrail for full audit visibility.
Azure Access
- Read-only analysis: We require a Service Principal with Reader role on subscriptions for analysis.
- Execution permissions (optional): For execution, we require minimal-scope Contributor role scoped to specific resource groups.
- All execution is logged in Azure Activity Log.
Your Responsibilities
- You are responsible for configuring cloud access policies to align with your security and compliance requirements.
- You must monitor CostSage's activity in your cloud accounts using CloudTrail, Azure Activity Log, and other native audit tools.
- You may revoke CostSage's access at any time through your cloud account settings. Revocation takes effect immediately.
- You are responsible for maintaining separate cloud credentials and keys and for rotating them regularly.
5. Acceptable Use Policy
You agree not to use CostSage for any purpose that is illegal, harmful, or violates these terms, including:
- Accessing or analyzing cloud infrastructure you do not own or have permission to access
- Reverse-engineering, decompiling, or attempting to access CostSage's internal systems
- Using CostSage to attack, disrupt, or interfere with cloud services or third-party infrastructure
- Scraping, automated access, or bulk downloading of CostSage reports without authorization
- Sharing your account credentials with unauthorized third parties
- Attempting to bypass security measures or access controls
- Using CostSage to violate any applicable laws or regulations
6. Subscription & Billing
Pricing and Plans
CostSage offers subscription plans at different price points. Your subscription level determines features, cloud account limits, and execution permissions. Pricing is displayed at checkout.
Payment Terms
- Subscriptions are billed monthly or annually, depending on your plan.
- Payment is due on the billing date. We accept all major credit cards and wire transfers.
- Invoices are sent to the email address on file.
- Charges include taxes and applicable fees, unless otherwise stated.
Auto-Renewal
All subscriptions automatically renew on the renewal date unless you cancel. You can cancel anytime from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.
30-Day Savings Guarantee
We're confident CostSage will find meaningful savings in your cloud infrastructure. If during your first 30 days, you don't identify at least $1,000 in potential monthly savings after CostSage analysis, we'll refund your subscription fee. Contact [email protected] to request a refund.
Price Changes
We may increase subscription prices with 30 days' notice. Existing subscriptions renew at the new price unless you cancel.
7. Intellectual Property
CostSage IP
All content, software, and services provided by CostSage, including our algorithms, recommendations engine, and reports, are the intellectual property of CostSage Inc. You may not reproduce, distribute, or modify our service without permission.
Your Data
You retain ownership of your cloud data, configurations, and billing information. By using CostSage, you grant us a limited license to access, analyze, and use this data to provide recommendations and improve our service.
Feedback
Any feedback, suggestions, or improvements you provide to CostSage may be used by us without obligation or compensation to you.
8. Data & Privacy
Your use of CostSage is subject to our Privacy Policy, which is incorporated into these terms. Please review our Privacy Policy to understand our practices regarding data collection, use, and sharing.
9. Disclaimers & Limitation of Liability
No Guarantees
CostSage is provided on an "as-is" basis. We do not guarantee that:
- Our recommendations will result in specific cost savings
- Your infrastructure will remain stable after implementing recommendations
- Our service will be uninterrupted or error-free
- All cost optimization opportunities will be identified
Your Responsibility
All CostSage recommendations are advisory. You are responsible for:
- Reviewing recommendations against your business requirements and risk tolerance
- Testing approved changes in non-production environments before execution
- Monitoring your infrastructure after changes are executed
- Reversing or modifying changes if they negatively impact your workloads
Infrastructure Changes
Infrastructure changes carry inherent risk. While CostSage implements safety measures (dry-run testing, rollback protection, audit logging), we cannot guarantee that all changes will have zero impact on availability or performance. Critical infrastructure decisions should involve your engineering team.
Limitation of Liability
To the maximum extent permitted by law, CostSage's total liability to you for any claims arising out of or relating to these terms or our service shall not exceed the amount you paid for your subscription in the 12 months preceding the claim. This limitation applies regardless of the form of action or the basis of the claim.
Exclusions
CostSage shall not be liable for:
- Indirect, incidental, special, or consequential damages (including loss of profits, data, or business interruption)
- Costs related to procurement of substitute services
- Damage to your infrastructure or services caused by third parties
- Service interruptions caused by cloud providers or events outside our control
10. Termination
Termination by You
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months unless otherwise required by applicable law or our Savings Guarantee.
Termination by CostSage
CostSage may terminate your account if:
- You violate these Terms of Service or our Acceptable Use Policy
- You engage in fraudulent or illegal activity
- You fail to pay subscription fees for more than 30 days
- We cease operating the service (with 60 days' notice)
Data After Termination
Upon termination, your access to CostSage is immediately revoked. We will delete your data in accordance with our Privacy Policy.
11. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state and federal courts located in Delaware.
Arbitration
By using CostSage, you agree that any dispute between you and CostSage shall be resolved by binding arbitration in Delaware, rather than in court, except for claims for injunctive relief or intellectual property infringement.

Entire Agreement
These Terms of Service, together with our Privacy Policy and any other agreements you have with CostSage, constitute the entire agreement between you and CostSage regarding your use of the service. If any portion of these terms is found invalid or unenforceable, the remaining portions shall continue in effect.
